1. Description of Service

Swap Africa is an escrow technology platform that facilitates secure transactions between buyers and sellers for physical goods and service contracts. Swap Africa acts as an independent intermediary holding funds in segregated double-entry ledger escrow accounts pending satisfaction of contractual conditions agreed upon by the transaction parties.

2. User Roles & Identity Verification (KYC)

The platform supports Buyers (accessing protected links via secure 24-hour guest sessions), Sellers (verified merchants listing items or service contracts), Delivery Riders (logistics partners verifying physical handoffs), and Administrators (managing system operations and dispute mediation).

Sellers must complete identity verification by providing valid government-issued identification (National ID, Passport, or Driver's License) and business documentation where applicable.

3. Financial Terms & Escrow Rules

All amounts are calculated and processed in Integer Ugandan Shillings (UGX). Payments are processed through licensed mobile money network operators (MTN Mobile Money, Airtel Money). Escrow collections and disbursements are subject to operational edge limits of UGX 500 minimum and UGX 7,000,000 maximum per transaction.

Funds remain safely held in escrow until:

• The buyer verifies rider pickup photos and presents/scans the secure QR code at delivery.
• The buyer approves a service contract milestone.
• The order is canceled prior to dispatch or legitimately refused at the door.
• An authorized administrator resolves an open dispute.

4. Delivery Inspection & Refusal at Door

For physical goods, riders capture and upload three verification photos at pickup. Upon arrival, buyers inspect the delivered goods. If the item is damaged, defective, or does not match the seller's description, the buyer has the legal right to refuse delivery at the door.

5. Dispute Resolution

If a disagreement arises regarding item quality, non-delivery, or service deliverables, either party may open a dispute before payment release. Escrowed funds are immediately frozen in a dispute hold account. Swap Africa administrators review photo evidence, tracking logs, and contract terms to render a binding decision.

6. Prohibited Items

Users may not transact illegal goods, weapons, controlled substances, counterfeit items, fraudulent financial schemes, adult content, or any items prohibited under the laws of the Republic of Uganda.

7. Limitation of Liability & Governing Law

Swap Africa operates as an escrow technology intermediary and does not manufacture or warrant third-party goods. Swap Africa is not liable for telecom network delays (MTN/Airtel USSD/SMS). Total aggregate liability is capped at the platform fees collected on the transaction.

These Terms are governed by the laws of the Republic of Uganda. Any disputes shall be subject to the exclusive jurisdiction of the courts of Uganda or Alternative Dispute Resolution (ADR) under the Uganda Electronic Transactions Act, 2011.
